Terms of Service

By creating an account, joining the waitlist, downloading the add-in, or accepting a ModelxcelPro license file, you agree to these Terms. If you do not agree, do not install or use the Service.

Subject to your compliance with these Terms and timely payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to install and use ModelxcelPro on the number of machines authorized by your plan.

Specific license terms covering the desktop add-in are set out in the End-User License Agreement, which forms part of these Terms.

Paid plans are billed monthly or annually via Stripe. Annual plans renew automatically at the end of each billing period unless cancelled. You may cancel at any time from your account portal; access continues until the end of the paid period.

14-day satisfaction guarantee: if you contact us within 14 days of your first paid charge and ask for a refund, we will refund the most recent charge in full, no questions asked.

You agree not to:

• reverse-engineer, decompile, or extract proprietary algorithms (other than as expressly permitted by applicable law);
• share your license file or activation credentials with anyone outside your authorized seats;
• use the Service to violate any applicable law or third-party right;
• interfere with the Service\'s security features (including the Causality ledger or signature verification).

Our handling of personal data is governed by our Privacy Policy. For business customers requiring a Data Processing Agreement, see our DPA.

The Service, including all software, documentation, and trademarks, is owned by ModelXcel or its licensors. Workbook files you create remain your property; we claim no rights to your spreadsheets, formulas, or data.

The Service is provided "as is" without warranties of merchantability or fitness for a particular purpose. To the maximum extent permitted by law, ModelXcel\'s total aggregate liability shall not exceed the fees you paid in the 12 months preceding the claim. Specific carve-outs and floor amounts will be set out in the final Terms following counsel review.

You may terminate your subscription at any time. We may suspend or terminate your access for material breach of these Terms. Upon termination, your license to use ModelxcelPro ceases; tamper-evident certificates, signed envelopes, and proof artifacts already exported remain independently verifiable — either by recomputing the SHA-256 hash chain or, for Replay Proof .mxreplay.signed envelopes, by running the zero-dependency Node verifier shipped in the ModelxcelPro repo. No active ModelxcelPro license or install is required to verify them.

These Terms are governed by the laws of the jurisdiction in which ModelXcel is incorporated (to be specified in the final document). Disputes shall be resolved in the courts of that jurisdiction unless mandatory consumer-protection law provides otherwise.
